E. Definiteness. Contractual terms, particularly basic conditions such as price, legal description and deadline, must be sufficiently secure. A court must be able to review the agreement and determine the obligations of the parties from the “four corners of the document.” A sales contract is an agreement between the buyer and the seller for the sale and delivery of goods, securities and other personal items. In the United States, domestic sales contracts are governed by the single code of commerce. International sales contracts are covered by the United Nations Convention on International Goods Contracts (ICSG), also known as the Vienna Convention on The Right to Sell. This is the requirement that the parties voluntarily and knowingly agree to the terms of the contract. No part of the contract can cheat, misrepresented, have an error or inappropriate constraints. However, deadlines are generally not “hard” deadlines. Non-closure on the reference date is not always considered an offence.
